PRIVACY NOTICE

Your privacy is important to us. This privacy statement explains the personal data Territorium, Inc. (Territorium) processes, how Territorium processes it, and for what purposes. Territorium offers multiple products, including SaaS solutions for companies, , and other type of organizations. References to Territorium products in this statement include services, websites, apps, and software.

Our organization is committed to protecting the privacy of student education records in compliance with the Family Educational Rights and Privacy Act (FERPA). We collect, use, and store education records solely for the purposes authorized by the educational institution or as required by law. Access to and sharing of education records are strictly controlled and conducted only with the explicit direction or consent of the educational institution, as permitted by FERPA.  We recognize the rights of parents and eligible students to access, review, and request corrections to their education records.  Requests to access, review, amend, or correct education records should generally be directed to the educational institution that controls the records. Territorium supports educational institutions in responding to authorized requests.

The LifeJourney application provides users with services related to assessment exams, the ability to issue or receive verifiable digital credentials, or career management. Verifiable Credentials that are claimed by a user may be stored in their LifeJourney digital wallet, which is accessible online and through a mobile application. Users control the ownership of their credentials and the ability to share that credential with others for verification. Access to the LifeJourney platform may be provided through an educational institution, employer, workforce organization, professional association, licensing body, or other sponsoring organization, or may be obtained directly by an individual user. Credentials may be issued by educational institutions, employers, workforce organizations, professional associations, licensing bodies, or other authorized issuers. Users should contact the issuing organization with questions regarding a credential’s content, status, or requirements.

Where a User’s access to Services is provided through an organization, changes to that organization’s relationship with Territorium may affect the availability of certain services or features. Users may continue to access claimed credentials and available wallet functionality in accordance with platform capabilities, credential status, applicable agreements, and service availability. The wallet provides portability options to move claimed credentials to another wallet where supported.

LifeJourney supports standards-based digital credentials and learner records, including Verifiable Credentials, Open Badges, and related credential formats. Where supported by participating systems and applicable standards, Users may export, transfer, share, or present claimed credentials using interoperability features available within the platform. Credential availability, portability, and verification may depend upon the credential format, issuer configuration, and third-party systems involved in the transaction. Availability of transfer, sharing, presentation, export, and verification features may vary depending on the capabilities and availability of participating systems, supported standards, and third-party technologies.

PERSONAL DATA WE COLLECT​

Territorium collects data from you, through our interactions with you and through our products. You provide some of this data directly, and we get some of it by collecting data about your interactions, use, and experiences with our products. The data we collect depends on the context of your interactions with Territorium and the choices you make, including your privacy settings and the products and features you use. We may also obtain data about you from third parties. Depending on the Services used, personal data may included educational records, assessment results, credential information, learner records, skills and competency data, employment-related information, identity authentication information, evidence submissions, profile information, and records associated with digital credentials or digital wallet activity.

You have choices when it comes to the technology you use and the data you share. When we ask you to provide personal data, you can decline. Most of products require some personal data to provide you with a service. If you choose not to provide data required to provide you with a product or feature, you cannot use that product or feature. Likewise, where we need to collect personal data by law or to enter into or carry out a contract with you, and you do not provide the data, we will not be able to enter into the contract; or if this relates to an existing product you’re using, we may have to suspend or cancel it. We will notify you if this is the case at the time. Where providing the data is optional, and you choose not to share personal data, features like personalization that use such data will not work for you.

Territorium products are not approved for learners under 13 years of age. We do not knowingly collect, use, or disclose personal information from children under the age of 13 without verifiable parental consent, as required by the Children’s Online Privacy Protection Act (COPPA). If we discover we have collected information from a child under 13 without such consent, we will promptly delete it.

California residents may have additional privacy rights under applicable California privacy laws, including rights to know, access, correct, delete, and limit certain uses of personal information, subject to applicable exceptions. Territorium honors these rights in accordance with applicable law. For users in the European Economic Area, we process personal data in accordance with the General Data Protection Regulation (GDPR). This includes ensuring lawful grounds for processing, obtaining explicit consent where required, providing access to and control over personal data, and maintaining strict safeguards to protect user information.   Territorium uses industry-standard encryption, key management, and security controls to protect data in transit and at rest.

Certain Services may support credential verification, fraud prevention, account security, authentication, or assessment integrity activities. In connection with these Services, Territorium may process information necessary to validate user access, protect platform security, maintain assessment integrity, verify credentials, prevent fraud, and meet contractual or legal requirements.

Data is retained in accordance with Territorium’s agreement with the educational institution that specifies their desired time for data destruction.  Users control credentials and personal information within their digital wallet and may delete credentials or deactivate their account through available application settings. Retention periods may vary by product, customer agreement, credential type, legal requirement, regulatory obligation, or operational necessity. Certain credential metadata and verification records may be retained to support credential integrity, verification, auditing, fraud prevention, and compliance requirements.

Deletion of a User account, digital wallet, or credential does not necessarily require deletion of all credential-related records. Territorium may retain credential verification records, audit logs, issuance records, revocation records, cryptographic validation information, and other metadata necessary to support credential integrity, verification services, fraud prevention, legal obligations, compliance requirements, and the continued validation of credentials previously issued by authorized issuers.

HOW WE USE PERSONAL DATA

Territorium uses the data we collect to provide you with rich, interactive experiences. In particular, we use data to:

• Provide our products, which includes updating, securing, and troubleshooting, as well as providing support. It also includes sharing data, when it is required to provide the service or carry out the transactions you request.
• Improve and develop our products.
• Personalize our products and make recommendations.
• Support the issuance, receipt, storage, display, sharing, presentation, verification, renewal, and management of digital credentials and learner records.

We also use the data to operate our business, which includes analyzing our performance, meeting our legal obligations, developing our workforce, and doing research. In carrying out these purposes, we combine data we collect from different contexts or obtain from third parties to give you a more seamless, consistent, and personalized experience, to make informed business decisions, and for other legitimate purposes.

Our processing of personal data for these purposes includes both automated and manual (human) methods of processing. Our automated methods often are related to and supported by our manual methods. For example, our automated methods include artificial intelligence (AI), which we think of as a set of technologies that enable computers to perceive, learn, reason, and assist in decision-making to solve problems in ways that are similar to what people do. Some data may be used to build, train, and improve the accuracy of our product offering and recommendations that are personalized to users. We may manually review some of the predictions and inferences produced by the automated methods, such as machine learning and AI-based algorithms, against the underlying data from which the predictions and inferences were made.

Our use of generative artificial intelligence (genAI) or large language models (LLMs) relies on third-party services provided by Microsoft Azure Open AI Services and Azure Cognitive Services. AI-enabled features in our application rely on these services for generation of response content or recommendations to users. In the proctoring of exams which require verification of identity or monitoring of test-taking compliance, some photographic or video evidence that may be associated with personally identifiable information may be shared with Azure Cognitive Services for identification. In other features of the application users may elect not to use a service that is using AI.

Our features relate to pre-trained AI models maintained by Open AI or Microsoft. User prompts are not used to further train these AI models. Feedback from users within the applications such as requested new iterations of responses or ratings of the material generated helps Territorium to refine and improve application-level logic but do not alter the training of the AI models. Written documents or user-submitted content may be sent to Azure AI Service for content extraction and indexing for the purposes of response generation  Territorium minimizes the transmission of personal information to third-party AI service providers where feasible. Certain user-submitted content, documents, evidence, assessment responses, identity verification materials, and profile information may contain personal information and may be processed by approved service providers solely to provide requested functionality..

Certain Services may allow Users to create verification responses or Verifiable Presentations in response to requests from employers, educational institutions, workforce agencies, licensing organizations, or other authorized parties. Information included in such responses is limited to the information selected or authorized by the User and may be subject to the capabilities of the credential format being used.

HOW AND WHY WE SHARE PERSONAL DATA

Territorium will only share your personal data with those who have a legitimate need for it. For third party partners that provide integrated services to our products, users authorize data transfer through enabling certain features or services in the Product. When authorized, such data shared with a third party may include your name as well as profile information or content from your digital wallet that you authorize to be shared.

Depending on the Services used and the applicable agreement with an educational institution, workforce organization, employer, or other authorized organization, Territorium may share information related to learner engagement and activity within the Services. Such information may include credential claiming activity, credential sharing activity, credential viewing activity, saved opportunities, job application activity, platform engagement metrics, and other information necessary to support learner success, program administration, reporting, workforce development initiatives, or contractual obligations.

Territorium does not sell learner activity information and does not share such information for advertising purposes. Information is shared only with authorized organizations and in accordance with applicable agreements, user permissions, and legal requirements. Territorium does not sell learner activity information and does not use such information for third-party advertising purposes. For Users who independently create and manage their own accounts, learner activity information is not shared with an educational institution, employer, workforce organization, or other sponsoring organization unless authorized by the User, required to provide requested Services, or required by law. Learner activity information is used solely to support educational services, workforce development initiatives, learner success programs, platform operations, security, reporting, analytics, and contractual obligations.

We will make sure the personal data is used in a manner consistent with this privacy notice. Your personal data may be shared with our subsidiaries and affiliates and other third parties, for the following legitimate purposes:

1. In order to carry out the purposes of our personal data processing as described above;
2. To enable third parties to provide services on behalf of the user or Territorium;
3. To comply with our legal obligations, regulations, government clearances, or contracts, or to respond to data subject rights, a court order, administrative or judicial process;
4. In response to lawful requests by public authorities;
5. To seek legal advice from external lawyers and advice from other professionals;
6. As necessary to establish, exercise or defend against potential, threatened or actual litigation;
7. Where necessary to protect Territorium, your vital interests, such as safety and security, or the vital interests of other persons;
8. In connection with the sale, assignment or other transfer of all or part of our business(such as a potential purchaser and its legal/professional advisers);
9. Otherwise in accordance with your consent.

Please note that where legal requirements limit the sharing of your personal data, Territorium will respect such requirements.

As no advertising is provided in the application, your data is not used for targeted display ads or other communications.

HOW TO ACCESS AND CONTROL YOUR PERSONAL DATA

While educational institutions control their data such as those pertaining to personnel, curriculum, academic standards, academic policies, and grading practices, Users control their individual data.

You can also make choices about the collection and use of your data by Territorium. You can control your personal data that Territorium has obtained, and exercise your data protection rights, by contacting Territorium. In some cases, your ability to access or control your personal data will be limited, as required or permitted by applicable law. How you can access or control your personal data will also depend on which Territorium products you use.

For example, you can:

• Choose whether you wish to receive emails and push notifications from Territorium.
• Access and clear some of your data through your personal profile.
• Control whether grade and evidence documents in your digital credentials are shared with third parties.
• Control the visibility and sharing of eligible credentials, evidence, learner records, and profile information through available privacy and sharing settings.

Not all personal data processed by Territorium can be accessed or controlled via the tools above. If you want to access or control personal data processed by Territorium that is not available via the tools above or directly through the Territorium products you use, you can always contact Territorium at hi@territorium.com.

COOKIES AND SIMILAR TECHNOLOGY

Cookies are small text files placed on your device that allow websites and applications to recognize your browser or device and remember certain information about your interactions with the Services. Territorium uses cookies and similar technologies to store and honor your preferences and settings, enable authentication and sign-in functionality, maintain security, prevent fraud, improve performance, analyze how our Services are used, and support product functionality and user experience improvements.

These technologies are used solely to support the operation, security, and performance of our Services. Territorium does not permit third-party advertising networks to place tracking technologies within our applications, and information collected through cookies is not used for targeted advertising purposes.

You have a variety of tools to control the data collected by cookies, and similar technologies. For example, you can use controls in your internet browser to limit how the websites you visit are able to use cookies and to withdraw your consent by clearing or blocking cookies.

Our products do not use web beacons or other physical tracking methods for advertising purposes. Pixels may be used in email messages to ensure that product notifications are delivered or opened. 

Digital Credentials and Wallet Services

Certain Services include digital wallet functionality that allows Holders to receive, store, manage, organize, present, verify, and share digital credentials and learner records. Holders generally control the credentials they have claimed within the wallet and may choose whether to share those credentials with third parties. Claimed credentials may remain available to Holders even if the issuing institution no longer licenses the Services, subject to credential status, issuer actions, applicable law, platform support, and technical limitations. Credentials may be subject to expiration, revocation, suspension, renewal, replacement, or other status changes by the issuing organization in accordance with issuer policies, contractual requirements, regulatory obligations, and applicable credential standards.

Certain credential formats may support selective disclosure, allowing Holders to share only specific information contained within a credential. Availability of selective disclosure depends on the credential format, issuer configuration, and verification method used.

Some Territorium Services are provided directly to individual users and are not associated with an educational institution, employer, workforce organization, or other sponsoring organization. The provisions in this section apply only when access to a Service is provided through an organization.

Except where required by law, authorized by the User, or required to provide services requested by the User or sponsoring organization, Territorium does not disclose wallet content, credentials, learner records, evidence, profile information, or credential activity information to third parties.

PRODUCTS PROVIDED BY YOUR ORGANIZATION

If you use a Territorium product with an account provided by an organization you are affiliated with, such as your work or school account, that organization can:

• Control and administer your Territorium product and product account, including controlling privacy-related settings of the product or product account.
• Access and process your data, including the interaction data, diagnostic data, and the contents of your communications and files associated with your Territorium product and product accounts.

If you lose access to your work or school account (in event of change of employment, for example), you may lose access to products and the content associated with those products, including those you acquired on your own behalf, if you used your work or educational institution account to sign in to such products.

Most Territorium products are intended for use by organizations, such as educational institutions and businesses. If your organization provides you with access to Territorium products, your use of the Territorium products is subject to your organization’s policies, if any. You should direct your privacy inquiries, including any requests to exercise your data protection rights, to your organization’s administrator. Territorium is not responsible for the privacy or security practices of our customers, which may differ from those set forth in this privacy statement.

When you use a Territorium product provided by your organization, Territorium’s processing of your personal data in connection with that product is governed by a contract between Territorium and your organization. Territorium processes your personal data to provide the product to your organization and you, and for Territorium’s legitimate business operations related to providing the product. As mentioned above, if you have questions about Territorium’s processing of your personal data in connection with providing products to your organization, please contact your organization.

For Territorium products provided to you by an educational institution, Territorium will:

• not collect or use student personal data beyond that needed for authorized educational purposes;
• not sell or rent student personal data;
• not use or share student personal data for advertising or similar commercial purposes, such as behavioral targeting of advertisements to students;
• not build a personal profile of a student, other than for supporting authorized educational or school purposes or as authorized by the parent, guardian, or student of appropriate age; and
• require that our vendors with whom student personal data is shared to deliver the educational service, if any, are obligated to implement these same commitments for student personal data.
